Terms & Conditions

Please read these terms carefully before using Loyalty Loop. By registering or using the Service, you agree to be bound by these terms.

Agreement to Terms

These Terms and Conditions ("Terms") form a legally binding agreement between you ("you" or "User") and "Loyalty Loop Technologies Pvt Ltd" ("we", "us", or "our"), the operator of Loyalty Loop (the "Service"). By registering for an account, accessing, or using the Service in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the term "you" refers to that entity.

  • You must be at least 18 years of age to use the Service.
  • If you are registering on behalf of a business, you must have the legal authority to enter into contracts on that business's behalf.
  • By continuing to use the Service after any updates to these Terms, you accept the revised Terms.

These Terms are governed by the laws of the Republic of India. If you do not agree with any part of these Terms, you must not use the Service.

Description of Service

Loyalty Loop is a web-based Software-as-a-Service ("SaaS") platform that helps businesses in India create and manage digital loyalty programs for their customers. The Service includes, but is not limited to:

  • Digital QR loyalty cards — unique, browser-based loyalty cards with a scannable QR code issued to each of your customers.
  • Stamp and reward tracking — real-time tools for your staff to issue stamps and process reward redemptions at the point of sale.
  • Email campaigns — bulk email marketing tools to engage and re-activate your customer base.
  • Analytics dashboard — insights into customer activity, visit frequency, stamp issuance, reward redemption rates, and business growth metrics.
  • API access — a RESTful API available to Professional and Enterprise plan subscribers for integration with POS systems, e-commerce platforms, and other third-party tools.
  • Staff management — multi-user access with role-based permissions for business owners and their team members.

All features are subject to the limits and entitlements of your chosen subscription plan. We reserve the right to introduce new features, modify existing features, or remove features with reasonable notice, as described in Section 9.

Account Registration & Security

To access the Service, you must register for an account by providing accurate, current, and complete information. You agree to update your account information promptly whenever it changes.

One Account Per Business

Each business entity is entitled to one primary Loyalty Loop account. If your business operates from multiple locations, additional locations may be accommodated by separate arrangement — please contact us at support@loyaltyloop.in to discuss multi-location options.

Account Credentials and Access

  • You are solely responsible for maintaining the confidentiality of your login credentials (email address, password, and any API keys).
  • You are responsible for all activity that occurs under your account, whether or not authorised by you.
  • You must notify us immediately at support@loyaltyloop.in upon becoming aware of any unauthorised access to, or use of, your account.
  • Do not share your account credentials outside your authorised team. Use the built-in Staff Accounts feature to provide team members with their own access.

Suspension for Suspicious Activity

We reserve the right to suspend or restrict access to your account without prior notice if we reasonably believe that account activity represents a security threat, a violation of these Terms, or a risk of harm to the Service or other users. We will contact your registered email address as soon as practicably possible following any such action.

Subscription Plans & Billing

Trial Plan

All new accounts begin on a free Trial plan. The Trial plan supports up to 25 loyalty customers, requires no payment, and has no time limit. Certain features — including email campaigns, analytics exports, and API access — are restricted on the Trial plan and are reserved for paid subscribers. Trial accounts are subject to the same usage policies as paid accounts.

Paid Plans

Loyalty Loop offers three paid subscription tiers — Starter, Professional, and Enterprise — available on either a monthly or annual billing cycle. Paid subscriptions are billed in advance through Razorpay. Current pricing and plan feature entitlements are listed on our Pricing page.

Pricing in INR and GST

  • All prices are denominated in Indian Rupees (INR) and are inclusive of 18% Goods and Services Tax (GST).
  • A GST-compliant tax invoice is issued to you electronically after each successful payment. Past invoices can be downloaded from Settings → Billing → Invoice History.
  • To ensure your GST invoices include your business details, add your company name, registered address, and GSTIN under Settings → Business.

Annual Plans

Annual plan subscribers are billed once at the start of each annual billing cycle. No mid-year refund is provided for unused months of an annual subscription, except where the cancellation falls within the 30-day money-back guarantee applicable to a first payment (see our Refund Policy for full details).

Price Changes

We may change subscription prices at any time. We will provide you with at least 30 days' written notice of any price increase by email to your registered address. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.

Failed Payments

  • If a payment fails, we will automatically retry up to 3 times over a 7-day period, and will notify you by email of each failed attempt with a link to update your payment method.
  • If payment remains uncollected after all retry attempts, your account will be restricted — access to core features will be limited until outstanding payment is resolved.
  • No service credit is issued for any period during which your account is restricted due to non-payment.

Acceptable Use

You may use Loyalty Loop to create and manage genuine loyalty programs for real, consenting customers of your legitimate business. You agree not to use the Service in any manner that is unlawful, harmful, or in violation of these Terms.

Prohibited Activities

The following activities are strictly prohibited:

  • Spam and unsolicited messages — sending email campaigns or other communications to individuals who have not provided valid consent to receive them, or in violation of applicable Indian regulations.
  • Unauthorised data collection — storing personal data of individuals for whom you do not hold a lawful basis to collect or process that data.
  • Reselling or sublicensing — reselling, sublicensing, white-labelling, or otherwise making the Service available to third parties as a standalone product without our express written permission.
  • Automated scraping — using bots, crawlers, or automated tools to extract or harvest data from the Service.
  • Security interference — attempting to probe, scan, test the vulnerability of, or breach the security of the Service, its infrastructure, or any other user's data.
  • Unlawful use — using the Service for any activity that violates applicable Indian laws or regulations, including the Information Technology Act, 2000.
  • Malicious code — uploading, transmitting, or introducing any virus, malware, ransomware, spyware, or other harmful code into the Service.
  • Impersonation — impersonating any person or entity, or misrepresenting your affiliation with any person or entity.

Violations of this Acceptable Use policy may result in immediate account suspension or termination without refund, and may be referred to relevant law enforcement authorities where appropriate.

Customer Data & Your Responsibilities

When you use Loyalty Loop to collect and manage loyalty customer data, you act as the data controller for that personal data, and we act as a data processor on your behalf. The following obligations apply to you:

  • Lawful basis for processing — You represent and warrant that you have a valid and lawful basis under applicable Indian law — including the Digital Personal Data Protection Act, 2023 — to collect, store, and process your customers' personal data through the Service.
  • Privacy notice to your customers — You are responsible for informing your customers about how their personal data will be collected and used, including through a clear privacy notice at the point of data collection.
  • Data accuracy — You are responsible for the accuracy and integrity of any customer data you enter into the platform.
  • Data subject requests — If one of your customers requests access to, correction, or deletion of their personal data, you are responsible for processing that request using the customer management tools available in the platform, or by contacting us for assistance.
  • Account security — You are responsible for ensuring that only your authorised staff members access customer data through your account.

You agree to indemnify and hold us harmless against any claims, liabilities, costs, and expenses (including reasonable legal fees) arising from your collection, processing, or use of your customers' personal data, including any breach of applicable data protection laws.

Intellectual Property

Our Property

The Service, including its underlying software, code, design, user interface, logos, trademarks, trade dress, and all content created by us, is owned by "Loyalty Loop Technologies Pvt Ltd" and is protected under applicable Indian and international intellectual property laws. Nothing in these Terms grants you any ownership of, or licence to use, our intellectual property beyond what is strictly necessary to use the Service as permitted.

Your Data

You retain full ownership of all business data and customer data that you upload, generate, or store through the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free licence to process, store, and display your data solely for the purpose of providing the Service to you, and for no other purpose.

Feedback

If you submit suggestions, feature requests, ideas, or other feedback about the Service ("Feedback"), you acknowledge that we may use such Feedback to improve the Service without any obligation to compensate you or to keep it confidential. Feedback does not include your business or customer data.

API Usage (Professional / Enterprise)

API access is available to subscribers on the Professional and Enterprise plans. Use of the Loyalty Loop API is subject to these additional terms:

  • Keep API keys confidential — Your API keys must be treated like passwords. Do not embed them in client-side code, public source code repositories, or any publicly accessible location. You bear full responsibility for all API activity authenticated with your key.
  • Rate limits — Professional plan accounts are subject to a rate limit of 1,000 API requests per hour. Enterprise plan rate limits are negotiated on a case-by-case basis. Rate limit status headers are returned with every API response.
  • No competing use — The API may not be used to build a product or service that competes with Loyalty Loop, to harvest platform data for resale, or for any purpose prohibited under Section 5 (Acceptable Use).
  • Webhook security — Webhook endpoint URLs must use HTTPS. You are responsible for verifying the signature on all incoming webhook payloads to confirm their authenticity before processing.
  • Revocation of API access — We reserve the right to revoke, rotate, or suspend API access at any time upon detecting abuse, excessive usage, or a violation of these Terms.

Service Availability & Modifications

Uptime Target

We target an uptime of 99.9% measured on a monthly basis. Except for Enterprise plan subscribers with a separately agreed Service Level Agreement ("SLA"), this target is not a warranty or guarantee of availability, and we are not liable for downtime except as expressly agreed in an SLA.

Maintenance Windows

  • Planned maintenance — Where practicable, we will provide advance notice of scheduled maintenance windows by email or in-app notification. No service credit is issued for downtime occurring during a planned maintenance window.
  • Emergency maintenance — We may perform emergency maintenance without prior notice in the event of a security incident, critical bug, or infrastructure failure that poses an immediate risk.

Feature Changes

We may modify, update, add, or discontinue any feature of the Service. For material changes that remove or significantly alter a feature you rely upon, we will endeavour to provide at least 30 days' advance notice by email. Minor updates, bug fixes, and improvements may be deployed without prior notice.

Limitation of Liability

To the maximum extent permitted by applicable Indian law, the following limitations apply to our liability:

  • Aggregate liability cap — Our total cumulative liability to you for any and all claims arising out of or related to these Terms or the Service is limited to the total amount you actually paid to us in the three (3) calendar months immediately preceding the event giving rise to the claim.
  • Exclusion of consequential damages — We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business, goodwill, data, or opportunity, even if we have been advised of the possibility of such loss.
  • Misuse and account security — We are not liable for any losses arising from your misuse of the Service, violation of these Terms, or failure to maintain the security of your account credentials or API keys.
  • Third-party services — We are not liable for any failure, outage, or error of third-party services used in connection with the Service, including Razorpay, email delivery providers, or cloud infrastructure providers.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be lawfully excluded under applicable Indian law.

Indemnification

You agree to defend, indemnify, and hold harmless "Loyalty Loop Technologies Pvt Ltd", along with its directors, officers, employees, agents, licensors, and service providers, from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of, or inability to use, the Service;
  • Your violation of any provision of these Terms;
  • Your infringement of any third-party right, including any intellectual property, privacy, or proprietary right;
  • Your collection, processing, storage, or use of your customers' personal data through the Service; or
  • Any claim by a third party in connection with content or data you have submitted to or transmitted through the Service.

We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with such defence.

Termination

Cancellation by You

You may cancel your subscription at any time by going to Settings → Billing within your account and following the cancellation steps. Your account will remain active and accessible until the end of your current billing period. No partial refund is issued for the unused portion of a billing period, except as set out in our Refund Policy.

Termination by Us

We may suspend or terminate your account in the following circumstances:

  • Material breach — You materially breach these Terms and, where the breach is capable of remedy, fail to remedy it within 7 days of written notice from us.
  • Non-payment — Your account remains in a payment-failed state beyond the 7-day retry period described in Section 4.
  • Legal obligation — We are required by applicable law, a court order, or a regulatory authority to terminate or restrict your account.
  • Service discontinuation — We elect to discontinue the Service entirely, with at least 30 days' written notice to all active subscribers.

Where practicable, we will give you at least 7 days' written notice before terminating your account. In cases of serious breach, fraudulent activity, or an immediate legal obligation, we may terminate without prior notice.

Effect of Termination

  • Data retention — Following account closure, your business data and customer data will be retained for 30 days before being permanently and irreversibly deleted from our systems.
  • Data export — We strongly encourage you to export all data before cancelling or closing your account (use Export from the main menu). We are not responsible for data loss resulting from failure to export before the 30-day retention window expires.
  • Survival — Provisions that by their nature should survive termination — including Sections 6, 7, 10, 11, 13, and this clause — will remain in full effect after termination.

Dispute Resolution

Governing Law

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict-of-law principles.

Amicable Resolution

If a dispute, controversy, or claim arises out of or relates to these Terms or the Service, both parties agree to first attempt to resolve the matter in good faith through direct negotiation. Either party may initiate this process by sending a written notice to the other party describing the nature of the dispute. The parties will have 30 days from the date of such notice to reach a resolution before either party may commence formal legal proceedings.

Jurisdiction

If a dispute cannot be resolved amicably within the 30-day period, it shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India. You irrevocably submit to the personal jurisdiction of those courts and waive any objection to proceedings being brought in that venue.

Changes to Terms

We may update or modify these Terms at any time. We treat changes as follows:

  • Material changes — Changes that materially affect your rights or obligations (such as new use restrictions, changes to liability, or billing changes) will be communicated by email to your registered address at least 30 days before the changes take effect.
  • Minor changes — Typographical corrections, clarifications that do not alter the substance of the Terms, and changes required by law may be made immediately upon posting the updated Terms on this page.

The effective date shown at the top of this page reflects when the Terms were last updated. Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service before the effective date of the change and cancel your account.
